This CLE should be of interest to all ACBA attorneys who represent corporations or who practice through corporations.  HB 2021-1124 (effective April 19, 2021) and other recent amendments to the Colorado Corporations and Associations Act and the Colorado Business Corporation Act suggest attorneys recommending to their clients various modifications to the articles of incorporation and bylaws for every Colorado corporation to provide greater flexibility for the corporation and its shareholders when meeting the requirements of Colorado law.  Some of the amendments also update the ability of all Colorado entities to send notices by email and other forms of electronic transmission and maintenance of the entity’s records in electronic form.
